This agreement forms a binding and legal relationship between you, the Customer, and the Independent Professional for the Professional Services booked by the Customer (“Booking”) on the StoriBoard Website or App (a “Booking Platform”). 

Ph200 Ltd is a private limited company registered in England and Wales with company No. 12219023 (“StoriBoard”). StoriBoard provides the Booking Platform and acts as an interface and commercial agent between the Customer and the Independent Professional. StoriBoard is not a party to this agreement. 

Parties

“Customer”: the person who makes a booking on, and pays for, one-to-one emotional recovery sessions (“Professional Services”) through the Booking Platform.

“Independent Professional”: expert by experience who will provide the Professional Services as principal to the Customer under the terms of this agreement.

Commencement

The Customer’s Booking on the Booking Platform is an offer by the Customer to enter into this agreement with the Independent Professional.  

This agreement is created, and the Customer’s offer is accepted, when the Customer receives a confirmation email from StoriBoard confirming the Booking.

Duration

This agreement will continue until the Professional Services have been completed in accordance with the Booking, unless the Customer or Independent Professional exercises their right to cancel in accordance with the Booking Terms, in which case, this agreement will terminate if and when StoriBoard confirms in writing that the Booking has been cancelled. 

Services

The Independent Professional shall provide such Professional Services as are specified in the Booking. 

As part of providing the Professional Services, the Independent Professional will:

1. provide the Professional Services in accordance with this agreement and the Booking Terms; 
2. ensure the Professional Services are provided to the highest standards and in accordance with all applicable laws or industry standards from time to time in force;  
3. interact with the Customer in a professional and respectable manner at all times and shall promptly deal with any matters or issues relating to the Professional Services including dealing with any Customer complaints;
4. only provide Professional Services in relation to areas and topics where that Independent Professional has the necessary lived experience and provide the Professional Services safely and in accordance with all applicable laws;
5. represent the StoriBoard brand with integrity and professionalism at all times whilst providing the Professional Services;
6. ensure that it has disclosed all relevant safeguarding information to the Customer;
7. provide the Professional Services with reasonable skill and care;
8. ensure their availability (as displayed on the Booking Platform) is kept up to date at all times during the term of this agreement;
9. honour all bookings with Customers subject to the cancellation policy in the Booking Terms;
10. provide the Professional Services in accordance with the details and information set out in their profile on the Booking Platform;
11. communicate clearly and promptly with Customers who have made a Booking with them;
12. ensure that all information about themself and the Professional Services provided to StoriBoard for inclusion on the Booking Platform is true and accurate in all respects and could not in way be construed as misleading to a Customer;
13. deal with all Customers in a professional and courteous manner and in such a way as to not cause any harm or damage to StoriBoard’s reputation;
14. deal with all queries from Customers relating to a Booking in a prompt and satisfactory manner;
15. never solicit appointments with Customers directly; and
16. subject to the Booking Terms, use best endeavours to settle promptly any dispute(s) that may arise in relation to a Booking, including taking such action as is necessary to bring the dispute to a satisfactory conclusion as soon as practicable so that the Customer may still fulfil the Booking.

Price and Payment

StoriBoard offers a payment gateway as a commercial agent for the Independent Professional.  The Customer will pay the price indicated for the Booking on and through the Booking Platform in accordance with the Booking Terms and StoriBoard will pay to the Independent Professional the amount due to it for the Professional Services provided under this agreement. 

Liability 

The Independent Professional shall be directly responsible to the Customer for any failure to perform and/or fulfil the Professional Services, for any damage caused by the Independent Professional whilst carrying out the Professional Services and for any other legal liability which arises in respect of the Professional Services, save where such liability arises as a result of Customer fraud or negligence.

Nothing in this agreement shall exclude, or in any way limit, the Independent Professional’s liability for fraud, or for death or personal injury caused by its negligence, or for its wilful default or any other liability to the extent the same may not be excluded or limited as a matter of law.

Termination

This agreement may be terminated by the Independent Professional or the Customer exercising their cancellation rights in accordance with the Booking Terms.

Governing Law

This agreement shall be governed by and interpreted in accordance with English law. This means that any dispute or claim arising out of or in connection with it (including non-contractual disputes or claims) will be governed by English law.  The parties agree to the exclusive jurisdiction of the English Courts to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it.
